1. Acceptance of Terms
By accessing mceles.digital (the "Site") operated by Mceles Digital ("we", "us", "our"), you agree to these Terms of Use. If you do not agree, discontinue use of the Site. These terms apply to all visitors, clients, and users in the Republic of Korea and internationally where our services are offered.
2. Description of Services
Mceles Digital provides trade marketing and dealer engagement systems, including engagement kits, briefing materials, training modules, and related B2B services. Information on the Site describes our offerings; binding agreements require a separate written contract or statement of work.
3. User Responsibilities
You agree to provide accurate information when contacting us or requesting materials. You must not misuse the Site, attempt unauthorized access, scrape content at scale, or use our materials in violation of applicable law. You are responsible for maintaining the confidentiality of any credentials provided for client portals.
4. Intellectual Property
All content on the Site — including text, graphics, logos, kit descriptions, and downloadable templates where provided — is owned by Mceles Digital or licensed to us. You may not reproduce, distribute, or create derivative works without prior written consent. Licensed kit materials are governed by your separate license agreement.
5. Limitation of Liability
To the fullest extent permitted under the laws of the Republic of Korea, Mceles Digital shall not be liable for indirect, incidental, special, or consequential damages arising from use of the Site or reliance on informational content. Our total liability for claims related to the Site shall not exceed the amount you paid us in the twelve months preceding the claim, or KRW 100,000 if no payment was made.
6. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of Korea. Disputes shall first be addressed through good-faith negotiation. If unresolved within thirty (30) days, disputes shall be submitted to the exclusive jurisdiction of the courts of Jeollanam-do, Korea, unless mandatory consumer protection rules require otherwise.
7. Termination
We may suspend or terminate access to the Site for violation of these Terms or for maintenance and security reasons. Provisions that by nature should survive termination — including intellectual property, limitation of liability, and governing law — shall remain in effect.
8. Modifications
We may update these Terms from time to time. The "Last updated" date at the top of this page indicates the latest revision. Continued use after changes constitutes acceptance. Material changes affecting active client contracts will be communicated through your account representative where applicable.
